At March 29, 2024 Sharecare filed its Annual Report on Form 10-K for 2023 (the “2023 Annual Report”) with the U.S. Securities and Exchange Commission. Among other things, the 2023 Annual Report disclosed that “based on their evaluation, our Chief Executive Officer and Chief Financial Officer concluded that our disclosure controls and procedures … were adequate as of the date of December 31, 2023 due to (a) material weaknesses in our internal control over financial reporting.” Sharecare stated that the material weaknesses were “related to the assessment of revenue recognition resulting from a change in services provided to a client due to untimely communication between cross-functional teams.”

Following this news, Sharecare’s share price fell $0.22 per share or 28.28%, and closed at 0.55 USD per share on 1 April 2024.
